Buying a business or company

Acquiring a business can provide access to new markets, customers, expertise and commercial opportunities. Yet the transaction may also expose the buyer to financial, contractual and operational liabilities that require careful investigation. Our corporate solicitors can advise on the most appropriate transaction structure, whether you are purchasing shares in a company or acquiring selected business assets. We will conduct legal due diligence, review key contracts (including supplier and employee terms) and identify matters that could affect the price, timetable or viability of the company acquisition.

We can prepare and negotiate heads of terms, confidentiality agreements, purchase documents, warranties, indemnities and completion arrangements. HM3 Legal will work with your wider advisory team to ensure the legal structure supports your commercial objectives and that you understand the obligations and risks you will assume following completion. Bringing lawyers early into negotiations can ensure more favourable terms.

Selling a business or company

Preparing properly for a sale can improve the value of your business, reduce transaction delays and place you in a stronger negotiating position. Our solicitors can help you identify and address potential legal issues before the buyer begins its investigations. We will advise on the proposed deal structure and prepare the documentation needed to support the sale. This can include heads of terms, confidentiality agreements, disclosure letters, board resolutions and the principal purchase agreement and achieve the best deal possible.

Our team can negotiate warranties, indemnities, restrictive covenants, deferred consideration and completion conditions while protecting your commercial and financial interests. We will also respond to the buyer’s due diligence enquiries and coordinate with your accountants and tax advisers. HM3 Legal will help you progress the transaction efficiently while keeping your priorities, liabilities and desired outcome at the centre of negotiations.

Management buyouts and corporate transactions

A management buyout can allow an existing leadership team to acquire ownership of the business it already manages. These transactions require careful planning to address valuation, funding, ownership, management responsibilities and the relationship between the buyers and outgoing shareholders. Our corporate law solicitors advise management teams, sellers and investors throughout the process. We can establish acquisition vehicles, prepare shareholder agreements, review funding arrangements and negotiate the documents required to complete the transaction.

We also advise on management buy ins, corporate reorganisations, share exchanges and transactions involving multiple companies or investor groups. Our commercially focused approach helps all parties understand the proposed structure, their future responsibilities and the risks involved. HM3 Legal will coordinate each legal stage and work towards a transaction that supports the continued success of the business.

Merger & acquisition FAQs

What is the difference between a merger and an acquisition?

A merger generally describes two businesses combining to create a single organisation, while an acquisition involves one business purchasing another company or its assets. In practice, the legal structure may involve a share purchase, asset purchase, reorganisation or newly formed holding company. The most appropriate route depends on ownership, liabilities, tax considerations and commercial objectives. HM3 Legal can explain the available structures and advise which approach is most suitable for the proposed transaction.

Legal due diligence allows the buyer to investigate the business before completing the acquisition. It may cover corporate records, commercial contracts, employees, property, Intellectual Property (IP), disputes, data protection and regulatory compliance. A lawyer can complete these checks thoroughly and investigate the business proposition. The scope should reflect the size, sector and risk profile of the target business. Any concerns identified may affect the price, contractual protections or decision to proceed. HM3 Legal can conduct proportionate due diligence and explain the commercial significance of its findings.

Heads of terms record the principal commercial points agreed between the buyer and seller before detailed legal documents are prepared. They may cover price, payment arrangements, transaction structure, exclusivity, confidentiality and the proposed timetable. Most provisions are not intended to be legally binding, although certain clauses can be binding. Clear heads of terms can prevent misunderstandings and help negotiations progress efficiently. A solicitor should review them before signature to ensure they accurately reflect the intended transaction.

The timescale depends on the size and complexity of the transaction, the readiness of the parties and the extent of due diligence required. A straightforward transaction may complete within several weeks, while a larger or more complex acquisition can take several months or longer. Funding, regulatory approvals, property matters and negotiations may also affect progress. Preparing key documents and resolving legal issues as early as possible in the planning can reduce delays and maximise returns. Your solicitor can provide a more realistic timetable after reviewing the proposed transaction.

The effect on employees depends partly on whether the transaction is structured as a share sale or an asset sale. In a share sale, the employer usually remains the same company. In an asset sale, the Transfer of Undertakings Regulations may apply and transfer employees to the buyer with their existing employment rights. Information and consultation obligations may also arise. Employment advice should be obtained early so that employee matters are managed correctly and do not delay the transaction. HM3 Legal can advise on the correct legal procedures for managing employees during a company sale.
