HM3 Legal will help you understand your rights, assess the available options and work towards a commercially sensible outcome.

Minority shareholder and unfair predjudice claims
Minority shareholders may have limited voting power, but they still have important legal and contractual rights. Concerns can arise when majority shareholders exclude them from management, withhold information, divert business opportunities or make decisions that unfairly damage their interests. Our corporate solicitors can assess whether the conduct may amount to unfair prejudice and advise on the remedies available. This may include negotiating changes to company management, securing access to information or arranging for shares to be purchased at a fair value.
Where an agreement cannot be reached, we can advise on bringing or responding to an unfair prejudice petition. HM3 Legal will help you assess the commercial value of the claim, the likely costs and the potential effect proceedings may have on the company and its shareholders.
Director and shareholder conflicts
Company disputes often become more complicated when the same individuals are both shareholders and directors. A disagreement about company strategy, performance or finances may therefore involve shareholder rights, directors’ duties and employment or service arrangements. Our solicitors can advise on allegations involving misuse of company funds, conflicts of interest, unauthorised decisions, removal from the board and breaches of fiduciary duties. We can also review the procedures for calling meetings, passing resolutions, removing directors and accessing company information.
HM3 Legal will help you separate the personal, legal and commercial issues involved before identifying a practical way forward. Where possible, we will seek to protect the operation and value of the business while ensuring that decisions are made lawfully and the interests of shareholders and the company are properly considered.
Shareholder exits and company deadlock
A serious dispute may make it difficult for shareholders to continue running the business together. In companies with equal ownership, a deadlock can prevent important decisions from being made and leave the company unable to move forward. Our corporate law solicitors can review any deadlock, compulsory transfer or exit provisions within the shareholder agreement and Articles of Association. We can advise on negotiated buyouts, share valuations, business separation arrangements and the sale of the company.
Where no contractual process exists, we will help the parties explore mediation or a structured commercial settlement. Court proceedings or an application to wind up the company may be considered where other options are unavailable. Our priority is to achieve a workable resolution that protects value and provides certainty for the individuals and business involved.

This year they were asked to make some changes and redraft and set up two LPAs. What they did was to farm out this task to a bunch of total cowboys working out of Manchester or Derbyshire(who knows?). This company has proved to be unprofessional and unbusiness-like (1.6/5 on Trust Pilot!). I asked Hillyer and McKeown (who have been taken over yet again) why this had happened without us being told and not agreeing to this and was told,”It’s what we do now. I can’t give you any more information.”
The “agency” as they are called the company are already not returning phone calls nor acknowledging e-mails…although they’ve taken all our money before we’d even signed a letter of engagement.
I can’t believe this is allowed to happen and will be taking further action. In the meantime they Hillyer and McKeown (HM3 Legal now) won’t be getting any more work from this estate.
Who sub-contracts work to a company with a 1.6/5 rating? Obviously somebody who couldn’t care less about their clients. To say I’m annoyed with them is an understatement !
During my visits to the Chester office, I was always treated well by all members of the team.
All my queries were resolved in a satisfactory manner, and I now have the safe knowledge that my will has been updated.
My only negative is your introduction, in that you addressed me as Barry James. The latter is indeed my middle name, but not my surname..
Deana has been extremely proactive employing her natural communication skills, moving the process forward very quickly, and achieving a swift conclusion. She explained the legal jargon clouding the agreement, putting it into straightforward language. Making it clear to understand, and combined with her most amiable manner, Deana ensured the process was both pleasant and enjoyable, whilst maintaining a highly professional legal service.
I can wholeheartedly and without any reservation recommend the services of HM3 Legal for top notch advice, service and speed.
Thank you.
The advisory team, led by Justine and supported by Megan and Deana, has done a fantastic job. They consistently exceeded my expectations, managed all communication seamlessly, and kept me proactively updated at every stage of my case. Their fee structure was entirely transparent, I was always informed of the costs upfront before any work started.
I would not hesitate to use their services again.
Throughout the last 5 months, Deana has been straight forward in her advice, being true to her word from day one. She is honest, avoids talking jargon and took into consideration the needs of the people involved and their personal circumstances.

It was only when we wanted to alter the wills that by good fortune I still had phone number of Hamilton Square. Well done to Ceri for patience and knowhow.

They kept me informed at every stage, explaining any legal details in a straightforward and accessible way, which made what can often be a stressful experience feel much more manageable. Emails and calls were always responded to promptly, and I felt confident that everything was being handled thoroughly and carefully.
What really stood out was their attention to detail and proactive approach. Shareholder dispute FAQs
What commonly causes a shareholder dispute?
Shareholder disputes can arise from disagreements about company strategy, financial management, dividends, director appointments or the performance of individual owners. Other common causes include breaches of a shareholder agreement, misuse of company funds, unequal workloads and attempts to remove someone from management without due process. The legal position will depend on the company’s articles, shareholder agreement and relevant conduct. Seeking advice early can help the parties understand their rights and prevent the disagreement from causing further commercial damage.
What rights does a minority shareholder have?
Minority shareholders may have rights under the Companies Act 2006, the company’s Articles of Association and any shareholder agreement. These can include voting, receiving information, attending meetings and sharing in dividends. A minority shareholder may also seek legal remedies if the company is managed in a way that unfairly harms their interests. HM3 Legal can review the relevant documents, assess the conduct involved and explain whether negotiation, a share buyout or formal legal proceedings may be appropriate.
Can a director also be involved in a shareholder dispute?
Yes. Many company owners act as both directors and shareholders, but the two roles involve different rights and responsibilities. A person may be removed as a director while retaining their shares, or they may leave employment without giving up their ownership. Directors also owe statutory duties to the company. A company dispute should therefore be assessed from each legal perspective. HM3 Legal’s corporate solicitors can advise on board procedures, shareholder rights, service agreements and potential breaches of directors’ duties.
How can a deadlock between equal shareholders be resolved?
A shareholder agreement may contain a specific deadlock process, such as negotiation, mediation or a mechanism allowing one owner to buy the other’s shares. If there is no agreement, the parties may negotiate a buyout, separate different parts of the business or consider selling the company. Court proceedings may become necessary if no commercial solution can be reached. The most appropriate option will depend on the company’s finances, ownership, relationships and ability to continue operating during the dispute.
Can a shareholder be removed from a company?
A shareholder cannot normally be removed simply because the other owners no longer want to work with them. Their shares may be transferred if they agree to sell or if valid compulsory transfer provisions apply under the company’s articles or shareholder agreement. Different procedures apply to removing someone as a director or employee. HM3 Legal can review each role separately, explain the available options and ensure that any proposed action follows the correct contractual and statutory procedures.
